- "Confidential Information": Any non-public information disclosed between parties
3. Acceptance and Scope
3.1 Agreement Formation
These Terms apply to all users of our website and form part of any service agreement. Specific project terms will be outlined in separate service agreements or statements of work.
3.2 Modifications
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Continued use of our services constitutes acceptance of modified Terms.
4. Services Description
4.1 Our Services Include:
- Fintech consultancy and solution development
- Payment and billing software development
- Lending and credit system implementation
- Personal Financial Management (PFM) solutions
- API integrations and microservices architecture
- Cloud technology deployment (AWS, Microsoft Azure)
- Data science and machine learning solutions
- Artificial intelligence implementation
- Infrastructure monitoring and scaling solutions
4.2 Service Delivery
Services are provided according to agreed specifications in individual service agreements. Delivery timelines and milestones will be specified in project-specific documentation.
5. Client Obligations
5.1 Information Provision
Clients must provide accurate, complete, and timely information necessary for service delivery.
5.2 Cooperation
Clients must cooperate reasonably with WeControl staff and provide necessary access to systems, data, and personnel.
5.3 Compliance
Clients are responsible for ensuring their use of our services complies with applicable laws and regulations.
5.4 Payment
Clients must pay all fees according to agreed payment terms and schedules.
6. Intellectual Property
6.1 WeControl IP
WeControl retains ownership of all pre-existing intellectual property, methodologies, tools, and general knowledge used in service delivery.
6.2 Client IP
Clients retain ownership of their pre-existing intellectual property and data provided to WeControl.
6.3 Developed IP
Ownership of newly developed intellectual property will be specified in individual service agreements.
6.4 License
WeControl grants Clients a non-exclusive, non-transferable license to use deliverables for their intended business purposes.
7. Confidentiality
7.1 Mutual Obligations
Both parties agree to maintain confidentiality of all non-public information received from the other party.
7.2 Exceptions
Confidentiality obligations do not apply to information that:
- Is publicly available through no breach of these Terms
- Is independently developed without use of confidential information
- Is required to be disclosed by law or court order
7.3 Duration
Confidentiality obligations survive termination of these Terms for a period of 5 years.
8. Limitation of Liability
8.1 Liability Cap
WeControl's total liability for any claims related to our services shall not exceed the total fees paid by the Client in the 12 months preceding the claim.
8.2 Excluded Damages
WeControl shall not be liable for:
- Indirect, incidental, or consequential damages
- Loss of profits, data, or business opportunities
- Third-party claims or damages
- Force majeure events
8.3 Client Indemnification
Clients agree to indemnify WeControl against claims arising from Client's misuse of services or violation of laws.
9. Data Protection and Privacy
9.1 Data Processing
Data processing activities are governed by our Privacy Policy and applicable data protection laws, including GDPR.
9.2 Data Security
WeControl implements appropriate technical and organizational measures to protect Client data.
9.3 Data Breach
WeControl will notify Clients of any data breaches affecting their information within 72 hours of discovery.
10. Termination
10.1 Termination Rights
Either party may terminate services with 30 days written notice, subject to specific agreement terms.
10.2 Effect of Termination
Upon termination:
- All payment obligations become immediately due
- Each party returns or destroys confidential information
- WeControl may retain data as required by law or legitimate business interests
11. Force Majeure
WeControl is not liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, government actions, cyber attacks, or other force majeure events.
12. Governing Law and Jurisdiction
12.1 Estonian Law
These Terms are governed by the laws of Estonia.
12.2 Dispute Resolution
Any disputes will be resolved through:
- Good faith negotiations
- Mediation if negotiations fail
- Estonian courts as final resort
12.3 Jurisdiction
Estonian courts have exclusive jurisdiction over any legal proceedings.
13. Website Terms
13.1 Permitted Use
You may use our website for lawful purposes only. Prohibited activities include:

WeControl may assign these Terms and related agreements. Clients may not assign without prior written consent.
20. Survival
Provisions regarding intellectual property, confidentiality, limitation of liability, and governing law survive termination of these Terms.
